AutoStream Terms of Service

This document is a working draft. Have it reviewed by a qualified attorney before relying on it,
particularly the sections on automated platform interaction and third-party data collection.
These Terms of Service (the “Terms”) govern access to and use of the AutoStream dashboard
(manageautostream.com) and the AutoStream Chrome extension
(together, the “Service”), provided by AutoStream, LLC (“AutoStream,”
“we,” “us,” or “our”). The Service helps automotive dealerships (“Customer,” “dealership,”
or “you”) collect their own vehicle inventory and assist their salespeople in posting that
inventory to Facebook Marketplace.
By creating an account, installing the extension, or otherwise accessing the Service, you agree to be
bound by these Terms on behalf of the dealership you represent. If you do not agree, do not use the
Service.
1. Acceptance of Terms & Eligibility
The Service is a business-to-business (“B2B”) product intended solely for use by licensed
automotive dealerships and their authorized employees or contractors (“Authorized Users”). By
using the Service you represent that:
- You are at least 18 years old and have the authority to bind your dealership to these Terms;
- Your dealership has been onboarded by AutoStream and has a valid, active account;
- You have been invited to the account by an authorized representative of your dealership (e.g. a
dealership manager or administrator); and
- All information you provide to AutoStream is accurate and kept up to date.
The Service is not directed to, and may not be used by, individual consumers acting outside of an
onboarded dealership account.
2. Description of the Service
AutoStream provides tooling that:
- Collects a dealership’s own vehicle inventory data from the dealership’s website or an
authorized data feed connected by the dealership;
- Displays that inventory to Authorized Users in the AutoStream dashboard and Chrome extension;
- Pre-fills Facebook Marketplace listing forms with vehicle data selected by an Authorized User, who
reviews and manually submits each listing; and
- Optionally uses Anthropic’s Claude API to generate suggested listing captions and to assist in
verifying vehicle photos, subject to the Authorized User’s review and approval before any listing
is submitted.
AutoStream does not automatically submit listings to Facebook Marketplace on a dealership’s behalf.
Every listing is reviewed and submitted by an Authorized User.
3. Accounts & Account Responsibilities
- Dealership administrators are responsible for inviting, managing, and removing their own Authorized
Users, and for the accuracy of role assignments (sales rep, manager, admin).
- Each Authorized User is responsible for maintaining the confidentiality of their login credentials
and for all activity that occurs under their account.
- You must notify AutoStream promptly of any unauthorized use of an account or any other suspected
security breach.
- AutoStream is not liable for any loss or damage arising from your failure to safeguard account
credentials.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Post inventory, images, or descriptions that are false, misleading, fraudulent, or that you do not
have the right to post;
- Upload or process data belonging to a third party without authorization;
- Attempt to circumvent, disable, reverse-engineer, or interfere with the security or normal operation
of the Service, including its authentication systems or rate limits;
- Use the Service to access, scrape, or interact with any website or platform other than your
dealership’s own configured inventory sources and Facebook Marketplace, as contemplated by the
Service; or
- Resell, sublicense, or provide access to the Service to any party outside your dealership without
AutoStream’s prior written consent.
5. Customer Responsibilities & Third-Party Platforms
This section is important. AutoStream provides tooling. Your dealership directs how
that tooling is used, and your dealership is responsible for the resulting conduct on third-party
platforms.
- Right to inventory data. Your dealership represents and warrants that it owns, or
has all necessary rights, licenses, and consents to provide AutoStream with, the vehicle inventory
data, photos, and related content it connects to the Service, whether sourced from your dealership’s
own website or an authorized data feed (e.g. a feed connection you have approved from your website
provider or DMS/inventory management vendor).
- Compliance with Facebook/Meta terms. Postings made through the Service are made to
Facebook Marketplace using your dealership’s own Facebook account(s) and are directed and submitted
by your Authorized Users. Your dealership is solely responsible for complying with Meta Platforms,
Inc.’s (“Meta”) applicable terms of service, commerce policies, and community standards, and
for maintaining your dealership’s standing on Facebook and Facebook Marketplace. AutoStream is not
affiliated with, endorsed by, or responsible for Meta, and does not control Meta’s policies, account
enforcement decisions, or platform availability.
- Customer directs the postings. AutoStream pre-fills listing forms as tooling only.
Your dealership’s Authorized Users review, edit, and make the final decision to submit each listing.
Your dealership is responsible for the accuracy and legality of the content ultimately posted,
including pricing, vehicle condition claims, and disclosures required by applicable advertising or
consumer-protection law.
- Authorized data feeds and website access. If your dealership authorizes AutoStream
to read inventory from your website (including via an allow-listed automated request) or to receive a
data feed from your website provider or DMS vendor, your dealership represents that it has the
authority to grant that access and that doing so does not violate any agreement your dealership has
with that third-party provider.
- Third-party outages or policy changes. AutoStream is not responsible for listing
failures, account restrictions, or feature changes caused by Facebook/Meta, your website provider, or
any other third-party platform outside AutoStream’s control.
6. Subscription & Fees
- Access to the Service is provided on a subscription basis under the order, quote, or account terms
agreed with your dealership. Fees, billing frequency, and payment terms are as set out in your
dealership’s order form, invoice, or account dashboard.
- Unless otherwise agreed in writing, fees are non-refundable except as required by law.
- AutoStream may suspend access for accounts with fees more than 15 days past due, after reasonable
notice.
- AutoStream may change subscription fees on renewal with at least 30 days’ advance notice.
7. Intellectual Property
- AutoStream retains all right, title, and interest in and to the Service, including its software,
dashboard, extension, branding, and documentation. These Terms grant Customer a limited,
non-exclusive, non-transferable, revocable right to access and use the Service during the subscription
term, solely for Customer’s internal business purposes.
- Customer retains all right, title, and interest in its own vehicle inventory data, photos, dealership
branding, and other content it submits to the Service (“Customer Data”). Customer grants
AutoStream a limited license to process Customer Data solely to provide and improve the Service, as
further described in the AutoStream Privacy Policy and Data Processing Agreement.
- Feedback voluntarily provided to AutoStream about the Service may be used by AutoStream without
restriction or obligation to Customer.
8. Disclaimers of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY
KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AUTOSTREAM DOES NOT WARRANT THAT THE
SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT AI-GENERATED CAPTIONS OR PHOTO VERIFICATIONS
WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR LISTING, OR THAT LISTINGS SUBMITTED TO FACEBOOK
MARKETPLACE WILL BE ACCEPTED, PUBLISHED, OR MAINTAINED BY META. CUSTOMER IS RESPONSIBLE FOR REVIEWING ALL
AI-GENERATED CONTENT AND ALL PRE-FILLED LISTING DATA BEFORE SUBMISSION.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOSTREAM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING
OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AUTOSTREAM’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL
NOT EXCEED THE FEES PAID BY CUSTOMER TO AUTOSTREAM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING
RISE TO THE CLAIM. THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND
NOTWITHSTANDING THE FAILURE OF ANY LIMITED REMEDY.
10. Indemnification
Customer agrees to defend, indemnify, and hold harmless AutoStream, its officers, employees, and agents
from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees)
arising out of or related to: (a) Customer Data, including any claim that Customer lacked the rights
necessary to provide it to AutoStream; (b) Customer’s or its Authorized Users’ use of the Service
in violation of these Terms or applicable law; (c) content submitted by Customer to Facebook Marketplace
or any other third-party platform; or (d) Customer’s violation of any third party’s rights, including
Meta’s terms of service or a website provider’s terms governing data feed or access authorization.
11. Term & Termination
- These Terms remain in effect for as long as your dealership maintains an active subscription.
- Either party may terminate for the other party’s material breach if the breach is not cured within
30 days of written notice.
- AutoStream may suspend or terminate access immediately for conduct that AutoStream reasonably
believes violates Section 4 (Acceptable Use), poses a security risk, or exposes AutoStream to legal
liability.
- Upon termination, Customer’s right to access the Service ends. Data retention and deletion upon
termination are addressed in the AutoStream Privacy Policy and Data Processing Agreement.
12. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to its
conflict-of-laws principles. Any disputes arising out of or related to these Terms will be resolved in
the state or federal courts located in Colorado, and each party consents to personal
jurisdiction in those courts.
13. Changes to These Terms
AutoStream may update these Terms from time to time. We will update the “Last updated” date
above when we do. For material changes, we will provide reasonable advance notice to your dealership
administrator (e.g. by email or in-dashboard notice). Continued use of the Service after a change takes
effect constitutes acceptance of the revised Terms.
14. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any applicable
Data Processing Agreement or order form, constitute the entire agreement between Customer and
AutoStream regarding the Service.
- Severability. If any provision of these Terms is held unenforceable, the remaining
provisions remain in full force and effect.
- Assignment. Customer may not assign these Terms without AutoStream’s prior
written consent. AutoStream may assign these Terms in connection with a merger, acquisition, or sale
of assets.
- No waiver. Failure to enforce any provision of these Terms is not a waiver of that
provision.
